Please read these Terms and Conditions carefully before purchasing a WordPress Monthly Maintenance Package from Ethical Champ. By completing payment and ticking the checkbox at checkout, you confirm that you have read, understood, and agreed to be bound by these terms. These terms form a legally binding agreement between you (the Client) and Ethical Champ, operated by Mike Patch, Vancouver, BC, Canada.

 

1. Services Provided

Ethical Champ will provide WordPress website maintenance services as outlined in the plan selected at the time of purchase. Services vary by plan and may include:

  • WordPress core, plugin, and theme compatibility updates
  • Off-site website backups stored to a secure Google Drive account
  • Security monitoring, malware scanning, and Wordfence firewall configuration
  • Uptime monitoring and basic performance optimization
  • Monthly health and activity report delivered by email
  • Site edits (Growth and Enterprise plans only, as specified per plan)

All services are performed remotely via WordPress admin access. Services do not include server-level administration, hosting management, or custom development unless explicitly agreed to in writing.

 

2. Limitation of Liability

2.1 No Guarantee of Security. Ethical Champ will implement industry-standard security practices to protect your website. However, no security measure is foolproof. We do not guarantee that your website will be immune from hacking, malware, data breaches, or other security incidents. The internet is inherently insecure and no service provider can guarantee complete protection.

2.2 No Guarantee of Uptime. We monitor your website and respond to issues promptly, but we do not guarantee 100% uptime. Downtime caused by your hosting provider, DNS issues, third-party services, or factors outside our control is not our responsibility.

2.3 Update Risk. WordPress core, plugin, and theme updates are performed with care and a backup is always taken prior. However, updates can occasionally cause compatibility issues or visual changes. Ethical Champ will work to restore functionality promptly but is not liable for downtime, lost revenue, or damages resulting from an update-related issue.

2.4 Liability Cap. To the fullest extent permitted by law, Ethical Champ’s total liability to you for any claim arising from these terms or the services provided shall not exceed the total amount paid by you in the most recent one-month billing period. Ethical Champ is not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or business interruption.

2.5 Third-Party Actions. Ethical Champ is not responsible for actions taken by third parties including but not limited to your hosting provider, plugin or theme developers, or any other party with access to your website.

 

3. Client Responsibilities

You agree to:

  • Provide accurate WordPress admin credentials during onboarding
  • Notify Ethical Champ promptly of any known issues, changes, or third-party access to your website
  • Not grant access to your website to other developers or agencies without prior notice — unauthorized changes made by third parties void our liability for any resulting issues
  • Ensure your hosting account and domain registration remain active and in good standing
  • Respond to communications within a reasonable timeframe when your input is required

 

4. Backups

Ethical Champ will perform off-site backups at the frequency specified in your plan. Backups are stored in a secure Google Drive account separate from your hosting environment. While every effort is made to ensure backups are complete and restorable, Ethical Champ does not guarantee that backups will be error-free or that restoration will be possible in all circumstances. You are encouraged to maintain your own independent backup solution as an additional safeguard.

 

5. Billing and Payment

5.1 Monthly Plans. Monthly plans are billed on a recurring basis through Stripe. Your first payment is due at the time of purchase and covers your first month of service.

5.2 Annual Plans. Annual plans are billed in full at the time of purchase and cover twelve consecutive months of service. Annual plans are non-refundable after 30 days from the date of purchase.

5.3 Failed Payments. If a payment fails, services may be suspended until payment is received. Ethical Champ reserves the right to terminate the agreement if payment is not received within 14 days of the due date.

5.4 Price Changes. Ethical Champ reserves the right to adjust pricing with 30 days written notice. Continued use of the service after the notice period constitutes acceptance of the new pricing.

 

6. Cancellation Policy

6.1 Monthly Plans. You may cancel your monthly plan at any time by providing written notice to contact@ethicalchamp.com before your next billing date. Cancellations received after the billing date will take effect at the end of the current billing period. No partial refunds are provided.

6.2 Annual Plans. Annual plans may be cancelled within 30 days of purchase for a full refund. After 30 days, annual plans are non-refundable. Service will continue until the end of the paid annual period.

6.3 Upon Cancellation. Upon cancellation, Ethical Champ will provide a full backup of your website within 5 business days. Our admin user will be removed from your WordPress installation and all access will be revoked.

 

7. Scope of Work and Out-of-Scope Requests

Services are limited to those described in your selected plan. Any work requested outside the scope of your plan — including but not limited to new page design, custom development, content creation, SEO work, or major site redesigns — will be quoted separately at Ethical Champ’s standard hourly rate. No out-of-scope work will commence without written approval from you.

The included monthly edit hours on Growth and Enterprise plans (as applicable) are non-cumulative and do not roll over from month to month.

 

8. Website Credit Link

As part of the WordPress Monthly Maintenance Package, a small text link will be added to the footer of your website reading “WordPress Maintenance by Ethical Champ” or similar wording, linking to ethicalchamp.com. This link:

  • Will be placed discreetly in the site footer
  • Will be styled to match the existing footer design and will not be intrusive
  • Is a standard industry practice and forms part of the service agreement
  • Will be removed upon cancellation of your maintenance plan

By purchasing a maintenance plan you explicitly consent to the placement of this credit link on your website for the duration of the active service agreement.

 

9. WooCommerce Sites

WooCommerce and e-commerce functionality is supported on the Enterprise plan only. Clients on Essential or Growth plans with active WooCommerce installations acknowledge that e-commerce-specific compatibility, checkout functionality, and payment gateway updates are not covered under their plan and may require an upgrade or additional charges.

10. Confidentiality

Ethical Champ will treat all client login credentials, business information, and website data as strictly confidential. This information will not be shared with any third party except where required by law. Client data is used solely for the purpose of delivering the agreed services.

 

11. Termination by Ethical Champ

Ethical Champ reserves the right to terminate this agreement immediately and without refund if:

  • You provide false or misleading information during onboarding
  • You use the services for any unlawful purpose
  • Your website contains illegal content or is used for malicious activity
  • You are abusive toward Ethical Champ staff or representatives
  • Payment remains outstanding for more than 14 days

 

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia.

 

13. Amendments

Ethical Champ reserves the right to update these Terms and Conditions at any time. Updated terms will be posted at ethicalchamp.com/terms and clients will be notified by email with 14 days notice before changes take effect. Continued use of the service after that date constitutes acceptance of the updated terms.

 

14. Entire Agreement

These Terms and Conditions, together with the plan description selected at checkout, constitute the entire agreement between you and Ethical Champ with respect to the WordPress Monthly Maintenance service and supersede all prior discussions, representations, or agreements.

Acceptance

By completing payment and checking the box at checkout, you confirm that you have read and agree to these Terms and Conditions in full.

SEO Services — Terms and Conditions

These Terms and Conditions apply to clients purchasing SEO Services from Ethical Champ, operated by Mike Patch, Vancouver, BC, Canada. By engaging our services and submitting payment you confirm that you have read, understood, and agreed to be bound by these terms. These terms form a legally binding agreement between you (the Client) and Ethical Champ.

 

1. Scope of SEO Services

Ethical Champ will provide SEO services as outlined in the package or proposal agreed upon at the time of engagement. Services may include any combination of the following depending on your plan:

  • Keyword research and strategy
  • On-page SEO optimization
  • Technical SEO audits and recommendations
  • Content creation and optimization
  • Link building and off-page SEO
  • Local SEO and Google Business Profile optimization
  • AI search visibility strategy
  • Custom SEO reporting and performance tracking

Services not explicitly listed in your agreed package are considered out of scope and will be quoted separately before any work begins.

 

2. No Guarantee of Rankings or Results

2.1 No Ranking Guarantee. Ethical Champ does not guarantee specific search engine rankings, positions, or placement on Google or any other search engine. Search engine algorithms are controlled entirely by third parties and change frequently. No ethical SEO provider can guarantee rankings and any provider that does is misrepresenting their services.

2.2 No Traffic Guarantee. While our strategies are designed to increase organic search traffic over time, we do not guarantee specific traffic volumes, lead counts, or revenue outcomes. SEO results depend on many factors including competition, industry, website quality, and search engine behaviour.

2.3 Timeline Expectations. SEO is a long-term strategy. Most clients begin to see measurable improvements within three to six months. Results vary significantly depending on the competitiveness of your industry, your website’s current state, and the scope of work being performed. Early results are not guaranteed.

2.4 Algorithm Changes. Search engine algorithms change frequently and without notice. Ethical Champ is not responsible for ranking fluctuations or traffic drops caused by algorithm updates, even where previous rankings had been achieved through our work. We will adjust strategy in response to significant updates as part of ongoing service.

 

3. Client Responsibilities

The success of SEO work depends significantly on your cooperation. You agree to:

  • Provide timely access to your website, Google Analytics, Google Search Console, and any other platforms required to perform the work
  • Approve content, recommendations, and strategy changes within a reasonable timeframe — delays in approval may delay results
  • Not engage multiple SEO providers simultaneously without prior disclosure — conflicting strategies can negatively impact performance
  • Notify Ethical Champ before making significant changes to your website including redesigns, platform migrations, or URL structure changes
  • Provide accurate information about your business, target audience, and goals
  • Not engage in any black-hat SEO tactics, link schemes, or practices that violate Google’s Webmaster Guidelines independently of our work

 

4. Billing and Payment

4.1 Monthly Retainer. SEO services are typically provided on a monthly retainer basis. Payment is due at the start of each billing period. Work will not commence or continue until payment is received.

4.2 Project-Based Work. For one-time projects or audits, a deposit of 50% is required before work begins with the remaining balance due upon delivery.

4.3 Late Payment. Invoices unpaid after 14 days may result in work being paused until payment is received. Ethical Champ reserves the right to charge interest on overdue amounts at a rate of 2% per month.

4.4 Price Changes. Ethical Champ reserves the right to adjust pricing with 30 days written notice. Continued engagement after the notice period constitutes acceptance of the new pricing.

 

5. Minimum Commitment and Cancellation

5.1 Minimum Term. SEO services require a minimum commitment of three months. This reflects the nature of SEO as a long-term strategy — meaningful results cannot be assessed or achieved in less time. Month-to-month cancellation is available after the initial three-month period.

5.2 Cancellation Notice. After the initial three-month period, either party may cancel the agreement with 30 days written notice sent to contact@ethicalchamp.com. Work will continue and payment will be due through the end of the notice period.

5.3 Early Termination. Cancellation before the end of the three-month minimum period will result in the remaining balance of the minimum term becoming immediately due.

5.4 Upon Cancellation. Upon cancellation Ethical Champ will deliver all completed work, reports, and data in your possession. Access to any accounts or tools created on your behalf will be transferred back to you within 5 business days.

 

6. Ownership of Work

6.1 Content Ownership. All content, copy, and creative assets produced by Ethical Champ and delivered to you become your property upon receipt of full payment for the period in which they were created.

6.2 Strategy and Methodology. Ethical Champ retains ownership of its proprietary processes, frameworks, templates, and methodologies. Deliverables produced using these methods are yours — the underlying methods are ours.

6.3 Tools and Accounts. Any third-party tools or accounts set up on your behalf remain your property. You are responsible for any ongoing subscription costs associated with these tools after the engagement ends.

 

7. Reporting

Ethical Champ will provide regular performance reports as outlined in your package. Reports typically include keyword ranking movement, organic traffic trends, technical health updates, and a summary of work completed. Reporting frequency varies by plan — monthly is standard.

Reports are provided in good faith based on available data from Google Analytics, Google Search Console, and third-party SEO tools. Data discrepancies between platforms are normal and do not constitute an error in reporting.

 

8. Limitation of Liability

8.1 Liability Cap. To the fullest extent permitted by law, Ethical Champ’s total liability for any claim arising from SEO services shall not exceed the total fees paid in the most recent three-month period. Ethical Champ is not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost revenue, or loss of business opportunity.

8.2 Penalties and Manual Actions. Ethical Champ uses only white-hat, Google-compliant SEO practices. However, we are not responsible for any Google penalties, manual actions, or ranking drops resulting from pre-existing issues on your website, actions taken by previous SEO providers, or changes you or a third party make to your website independently.

8.3 Third-Party Platforms. Ethical Champ is not responsible for changes made by Google, Bing, or any other search engine or platform that affect your rankings, visibility, or traffic.

 

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. Ethical Champ will not share your business data, strategy, or performance metrics with any third party without your consent. You agree not to share Ethical Champ’s proprietary processes, pricing, or methodologies with competitors.

 

10. Website Credit Link

As part of the SEO Services engagement, a small text link may be added to the footer of your website reading “SEO by Ethical Champ” or similar wording, linking to ethicalchamp.com. This link:

  • Will be placed discreetly in the site footer
  • Will be styled to match the existing footer design
  • Serves as a standard professional attribution and portfolio reference
  • Will be removed upon written request or at the conclusion of the engagement

By engaging SEO services you provide consent to the placement of this credit link for the duration of the active engagement. Removal prior to the end of the engagement can be requested in writing and will be accommodated within 5 business days.

 

11. Non-Solicitation

During the engagement and for a period of twelve months following its conclusion, you agree not to directly solicit, hire, or contract with any individual employed by or contracted to Ethical Champ who you became aware of through this engagement, without prior written consent from Ethical Champ.

 

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of British Columbia.
